Filing Your Way Off LegalZoom in Florida
Auto-renewal means the calendar is working against you, so here is the whole procedure in order.
Appoint the new agent first. You cannot complete the filing without one, because the incoming agent has to sign an acceptance, and you should not create a gap in coverage regardless.
Then file. An LLC submits INHS18, the LLC statement of change, with $25, to the Registration Section of the Division of Corporations at Florida's Department of State. Corporations use a different document, CR2E045, and pay $35. The change provision behind the filing is Fla. Stat. § 605.0114. The form asks for the entity name, the Sunbiz document number, who is leaving the role, who is taking it, and the Florida street address that becomes the registered office.
Or take the shortcut. If the annual report window is open and yours is still unfiled, designate the new agent on that report between January 1 and May 1 and skip the separate filing entirely.
Then confirm. Search your entity on Sunbiz and look at the agent block. When it shows the new name and address, the change is real.
Then cancel LegalZoom. In that order, never before it. An entity sitting on the public record with no functioning agent is exposed to exactly the sort of missed service that becomes a default judgment, and a cancellation can wait a few days.
