An LLC files its annual report by May 1. Miss that and a late fee attaches which the Division of Corporations will not waive, whatever the reason. Remain delinquent and, on the third Friday in September, the state administratively dissolves the company under Fla. Stat. § 605.0714. Not a warning letter. Dissolution.
