An LLC files its annual report by May 1. Miss that and a late fee attaches which the Division of Corporations will not waive, whatever the reason. Remain delinquent and, on the third Friday in September, the state administratively dissolves the company under Fla. Stat. § 605.0714. Not a warning letter. Dissolution.

The registered agent is the party who receives the state's correspondence and any lawsuit filed against the business. That is considerable weight to hang on a relationship whose cost you cannot look up. Not because an unpublished price proves bad intent, but because a bill you did not see coming is exactly the sort of thing that turns into a lapsed appointment, and a lapsed appointment in Florida runs toward that September date.
